You agree not to reverse compile, decompile, reverse engineer or attempt to ascertain the source code of any such software or create any derivative works based upon such software. The use of any Materials on any other Web site or computer environment or any data mining, robots or similar extraction or data gathering methods in connection with this Site is prohibited. Any rights not expressly granted herein are reserved by Propel.

Except as expressly provided herein, Propel and its licensors and suppliers do not grant any express or implied right to you under any patents, copyrights, trademarks or trade secret information. Other rights may be granted to you by Propel in writing or incorporated elsewhere in the Materials. 


SUBMISSIONS

Propel pleased to hear from its users and welcomes your comments regarding Propel products and services. Unfortunately, however, Propel policy does not allow us to accept or consider creative ideas, suggestions, or materials other than those that Propel has specifically requested. Please do not send Propel any unsolicited original creative materials. While Propel does value your feedback on our services and products, Propel requests that you be specific in your comments on those services and products, and not submit any creative ideas, suggestions, or materials (unless specifically requested by Propel).

If, at Propel's request, you send certain specific submissions or, absent our request, you send to Propel creative suggestions, ideas, notes, drawings, concepts, or other information (collectively, the "Submissions"), the Submissions shall be deemed, and shall remain, Propel property. The export and re-export of Propel software products are controlled by the United States Export Administration Regulations, and such software may not be exported or re-exported, to Cuba, Libya, North Korea, Iran, Iraq, Sudan and Syria or to any country to which the United States embargoes goods. In addition, Propel software may not be distributed to persons on the Table of Denial Orders, the Entity List, or the List of Specially Designated Nationals.

By downloading any Propel software product you are certifying that you are not a national of Cuba, Iran, Iraq, Libya, North Korea, Sudan, Syria, or any country to which the United States embargoes goods, and that you are not a person on the Table of Denial Orders, the Entity List, or the List of Specially Designated Nationals.

All Propel products and publications are commercial in nature. The software, publications and documentation available on this Site are "Commercial Items," as that term is defined at 48 C.F.R. §2.101, consisting of "Commercial Computer Software" and "Commercial Computer Software Documentation," as such terms are used in 48 C.F.R. §12.212 or 48 C.F.R. §227.7202, as applicable. Information submitted to Propel through forms on this Site is governed according to Propel’s Privacy Policy.


GOVERNING LAW AND JURISDICTION
This site is controlled by Propel from its offices within the United States of America. Propel makes no representation that Materials on this Site are appropriate or available for use in other locations, and access to them from territories where their content is illegal is prohibited. Those who choose to access this site from other locations do so on their own initiative and are responsible for compliance with applicable local laws. You may not use or export the Materials in violation of U.S. export laws and regulations. Any claim relating to the Materials shall be governed by the internal substantive laws of the State of California and controlling U.S. federal law. You agree that any action at law or in equity arising out of or relating to these Terms shall be filed only in the state or federal courts located in Santa Clara County, California and you hereby consent and submit to the exclusive personal jurisdiction of such courts for the purposes of litigating any such action.

TERMINATION

If you breach any of the Terms your authorization to use this Site shall automatically terminate. Otherwise, these Terms are effective until terminated by either party. You may terminate these Terms at any time by discontinuing use of this Site. Upon any termination of these Terms you shall discontinue use of this Site and destroy all Materials you obtained from this Site and all related documentation and all copies and installations thereof.
